本合同经买卖双方友好协商，就进口99.99%-99.96% 以上品质电解铜事宜达成一致，于2007年05 月 XX 日共同完成并签订执行此合同：

    WHEREAS:
The Seller and Buyer, each with full corporate authority, certifies, represents and warrants that each can full fill the requirements of this contract and respectively provide the products and the funds referred to herein, in time and under the terms agreed to hereinafter; and whereas the Seller hereby agrees and makes an irrevocable firm contract to sell and whereas the Buyer hereby agrees and makes an irrevocable firm contract to purchase Copper Cathode not less than 99.96%-99.99% , whereas the Seller and Buyer both agree to finalize this contract under the terms and conditions, it is therefore agreed as follows:
买卖双方将共同履行该合约所涉及的各项权利和义务，卖方保证如期提供99.96%--99.99% 品质的电解铜,以及所列文件资料，买方将保证如期支付相应货款，具体事宜如下:


1. SUBJECT OF THE CONTRACT （合同商品）

1.1              Seller has sold and Buyer has bought Copper Cathode 99.99% upward in accordance with the Specifications stipulated in Annexes 1, which is an integral part of this contract.
买卖双方同意执行电解铜99.99% 以上进口事宜，产品成分及规格详见附件一(做为该合同的补充内容，与本合同具有同等法律效力)；
1.2              The copper cathode under this contract shall be delivered in quantities of 5000MT/Month (+/-0.5%)x 12 Month, total 60,000 (+/-0.5%) MT per year under Bank Guarantee term, all CIF XXX China. 
本合同将包括电解铜进口共5000MT/Month x 12 Month(+/- 0.5%),数量 60,000(+/-0.5%)吨，CIF XXX 港   。

合同修订补充：见第七页末空白处。 

2. PRICE TERMS AND VALUE OF CONTRACT (价格及合同金额)

2.1 Price is determined in United States Dollars on the basis CIF X X X China.
本合同将以CIF X X X  港为准，以美元结算执行；
2.2 The price of Copper Cathodes 99.99 % upward agreed upon is USD 5,900.- / MT CIF (five thousand five hundred United States Dollars per Metric Tonne) 
买卖双方同意并接受进口电解铜99.99%-99.99% 以上品质，成交价格为每吨单价 5,950.- 美元CIF X X X 港。
2.3.1        Month value of copper cathode is USD XX,X00,000, the total value of the contract is USD XXX,000,000 (Three  hundred forty- two million  United state dollars).
每月电解铜货款金额为 XX,X00,000.-美元, 本合同金额总值为XXX,000,000.-美元。

3.  DELIVERY/SHIPMENT (货物交付及海运) 

3.1              The delivery of the Copper Cathodes 99.99 %  shall be made within 45 days from buyer opening a operative Bank Guarantee (BG) 。 
双方签订合同即日生效，买方开出生效的银行保函肆拾五天（45天）内起运99.99% 品质的电解铜。
The date of the bill of lading shall be considered the shipment time.
海运提单的开具日期将被认定为海运启运日期。
3.2     The first shipment should arrive buyer’s destination port in 60 days after the
   buyer opened the Bank Guarantee (BG) to seller’s bank.
      第一个月的货品在买方开出银行保函后的60天内抵达买方指定的中国口岸。
3.3     The consequently months shipment will arrived buyer’s destination port in 45 
   days after the seller get payment from the buyer side.
   接续月份的商品到货日期为卖方收到买方当期货品电汇款的45天内。


4. PAYMENT (付款)

4.1 For deliveries thru the buyer shall open an Unconditional, Irrevocable Bank Guarantee (BG) with one year and one month valid date in US Dollars sufficient to cover 100% (One hundred per cent) for 5000 MT minimum (+/-0.5%) Sum for payment guarantee, this BG should be opened in five days after the contract signed. And pay at sight with cash transfer by Telegraphic Transfer (TT)  in 3 bank working days after the commodity pass the China SGS/CIQ surveyor institution inspection for each month delivery.
买方应在合同签订五个工作日开出五千吨 (+/-0.5%) 电解铜100％总价值的无附加条件的，不可撤销的银行保函给卖方,此保函的有效期为壹年又壹个月。每个月货品到中国指定港口后经过独立检验单位SGS/CIQ检测完成后3个银行工作内买方用现金电汇TT的方式把全额货款汇入卖方银行指定账户。
4.2              Seller will issue a performance bond (PB) in the amount USD 342,000.- (2%) naming the Buyer as beneficiary. In event of non-delivery exceeding 4 weeks on planned delivery date, the Buyer has the right to receive this performance bond; the full amount shall be automatically and unconditionally drawn into the Buyer’s account.
卖方开出每月货款2%的履约保证金给买方,金额为xxx,000美元。如果卖方延迟交货时间超过预定交货期的4个星期，则此笔2%的履约保证金将无条件的自动划入买方的银行帐号内作为赔偿损失。
4.3              In the event that the Buyer fails to transfer each month commodity fee to seller’s bank in compliance with this Agreement, then the Bank Guarantee (BG) which treat as the payment guarantee shall be paid 100% at sight to the seller’s bank account by buyer without protest as a contract breach.
      假如买方在货品抵达中国卸货港并通过中国SGS/CIQ检验单位检测要求后拒绝电汇相关货款给卖方，则买方质押在卖方银行帐号内的全额银行保函将无条件并不受买方抗议影响的情况下自动解付给卖方作为货款赔偿。
4.4              The surveyor institution SGS/CIQ inspection fee at destination port is at buyer’s account; seller can do this inspection for buyer at first and charge lately in the cash payment.
中国目的港的SGS/CIQ检验费用由买方负责，卖方可先行为买方支付此笔检验费用，检验后买方电汇付款的时候再与当月货款一起汇致卖方银行账户内。
4.5              The Seller reserves the right not to load the vessel if the Bank Guarantee does not meet the requirements of this contract.
如买方开具银行保函未满足上述要求，卖方保有拒绝装船的权利；
4.6              The shipment shall commence not later than 45 days upon receipt of the Buyer’s Operative Bank Guarantee.
卖方收到买方的银行保函后将在不超过45天内安排装船启运；
4.7              Spelling and typographical errors and differences of such nature between bank issued and beneficiary issued documents not affecting figures shall not be deemed discrepancies provided that the intent of the writer is clear from the context and in such case only UCPDC, ICC PUB.500 1993 regulations shall apply at this time.
由于买卖双方银行之间的拼写或者输入造成的错误，在不影响关键数字和内容的前提下将根据UCPDC, ICC PUB.500 1993国际贸易条款


5. DOCUMENTS REQUIRED FOR PAYMENT (付款所需文件)

5.1 The Seller shall provide with each consignment a full set (3/3) bill of lading for all shipments. Including document of Insurance proof showing goods insured at 110% of net worth.
卖方需提供全套(三正三副)海运提单，以及保险金额为货值110%的海运保险文件；
5.2 Commercial Invoice issued by the Seller: 1 original and 2 first copies showing Contract Number, Description of Goods, Unit Price, Total Amount and Net Weight of the goods as per the Bill Of Lading.
卖方开具的商业发票：根据每份海运提单提供一正二副商业发票，并显示合同编号，货物描述，单价，总数量，货物净重等信息；
5.3 Assay Certificate duly signed by Office Congo: 2 first copies.
由出口国相关权威机构出具的检验证明副本二份；
5.4 Certification of Weight and Quality issued by SGS at the loading port.
由SGS国际检验机构在装港所进行的质量及重量检验证明;
5.5 Packing List showing gross/net weight.
标有毛重/净重的装箱单;
5.6   The certificate of origin;
货品的产地证明；
5.7              Wooden Packing Certification if applicable (1/1)
如果有木质包装须提交木质包装证明：一正一副

6. PACKING, MARKING, FORWARDING (包装，唛头，交付)

6.1 The Goods shall be packed in a way that guarantees the safety of the Copper Cathodes during transportation. Seller shall send the Copper Cathodes packed by the Manufacturer according to the Manufacturer’s specifications in pallets..
物品包装必须符合保证电解铜安全运输的规范标准。卖方必须提供由生产厂商包
装的，符合标准的电解铜板。
6.2 Each package shall contain the following information: 
每个包装需要包括如下信息：
- Number of a Bundle捆数；
- Weight Gross毛重；
- Weight Net净重；

7. FORCE MAJEURE (不可抗力)

7.1              This Contract shall be subject to Force Majeure. Should any of the circumstances continue more than 7 (seven) days, namely: government restrictions, natural calamities, fire, act of elements, war hostilities (regardless was war declared or not), invasion, military operations of any nature, rebellion, revolution, insurrection, civil war, riots, strikes, lockouts or breakdowns, blockage arising out of natural calamity, which prevents the Buyer/Seller from wholly or partially carrying out the contract, then the contract shall be extended by mutual agreement for as long as these circumstances prevail. However, each of the parties to this agreement shall have the right to terminate this agreement in case of governmental embargo on export/import of metal goods. About such a decision the other party shall be informed immediately should Force Majeure circumstances occur.
买卖双方均不承担由于不可抗力原因所造成的延误，损失，无法交货或违约的责任。不可抗力的原因包括战争，封锁，冲突，叛乱，罢工，雇主停工，内乱，骚动，政府对进出口的限制，暴动，严重火灾或水灾等被人们所不能控制的自然因素。上述任一灾害发生并持续七天以上的情况下，发生不可抗力情况一方应将有关发生不可抗力情况的性质、毁坏程度及影响合同履行的情况书面通知对方，并经由双方协商，相应推迟履行本合同义务的期限。但是买卖双方也有权利要求终止本合同，决定终止合同的一方应及时书面通知另一方关于不可抗力而引发的终止合同的决定；
7.2 Provided the Force-Majeure circumstances continue more than 2 (two) months, each party shall have the right to withdraw from fulfilment of its contractual obligations and shall immediately inform the other party of the circumstances preventing the performance of this contract.  
A certificate issued by the respective Chambers of Commerce of the Seller’s, manufacturers or the Buyer’s country shall be sufficient proof of the existence and duration of such circumstances. Parties shall not be responsible in damages or otherwise for any failure of performance of the agreement other than the payment of money if such failure results from Force Majeure.
上述任一灾害发生并持续两个月以上的情况下，买卖双方任一方将有权要求终止并履行本合同的责任和义务。发生不可抗力情况一方应尽快将有关发生不可抗力情况的性质、毁坏程度及影响合同履行的情况书面通知对方。
发生不可抗力情况一方凭其国家有关机关的认证书豁免责任。任何由于不可抗力而导致的损失，或者引发的对于合同义务的无法履行和延误，将不承担违约责任。

8. ARBITRATION (仲裁)

8．1 由本合同产生或与本合同有关的一切纠纷，应尽可能经双方谈判解决。如双方不能达成协议，可提交中国贸易促进委员会仲裁，裁决为最后裁决并对双方具有约束力。

9. OTHER CONDITIONS (其它)

9.1 Both parties agree that this contract will be deemed in force after the fulfilment of clause 4.1 of this Contract and is valid up to completion of obligations by both parties to this Contract.
买卖双方均认同本合同的执行将以对于合同条款4的履行作为依据，及至双方共同完成所规定的各项权利义务；
9.2 All changes and amendments to this Contract shall be valid if made in written form and signed by both parties.
所有对于本合同的修订和补充将以书面形式体现，并由双方签章生效；
9.3 This Contract cancels all previous agreements concerning the contents of this Contract.
之前所有与本合同相关的内容的协议，将以本合同为准；
9.4 Fax copies of this Contract and other relative fulfilment documents are considered as original till received in original by both parties.
在收到具有双方正式签章的合同正本原件之前，以传真等形式传递的具有双方签章的合同亦被认可生效；
9.5              Annex 1 form is an integral part of this Contract.
附件一作为本合同的补充内容，具相同法律效力；
